These Terms of Service (“Terms”) govern your use of oparos.com and your engagement with any services, programs, content, or resources provided by Oparos (“we,” “us,” “our”). By accessing this website or engaging our services in any capacity, you agree to be bound by these Terms. Please read them carefully.
1. About Oparos
Oparos is a for-profit strategic consultancy providing organizational transformation, future readiness, AI strategy, convergence literacy, and related advisory services to enterprises, nonprofits, foundations, government entities, and ecosystem organizations. We are incorporated and headquartered in New York State, with mailing address at 222 Purchase Street, Rye, NY 10580.

Permitted Use
You may access and use this website for lawful, personal, and informational purposes. You may share links to our content and reference our published work with proper attribution.

Proprietary Frameworks
The following are proprietary works of Oparos. They may not be reproduced, adapted, taught, sublicensed, distributed, or commercialized without prior written permission: All frameworks, methodologies, models, systems, programs, tools, and bodies of work developed by Oparos, whether named or unnamed, published or unpublished, including all future works developed after the effective date of these Terms, are the exclusive intellectual property of Oparos. They may not be reproduced, adapted, taught, sublicensed, distributed, or commercialized without prior written permission. This includes but is not limited to all organizational frameworks, diagnostic tools, readiness models, transformation architectures, research outputs, capability intelligence systems, learning programs, and any derivative works.
Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use this website and its publicly available content for personal, non-commercial informational purposes. This license does not include the right to reproduce, modify, distribute, or create derivative works.
4. Consulting and Advisory Services
Any consulting, advisory, or strategic engagement with Oparos is governed by a separate Statement of Work, engagement letter, or written agreement executed between the parties. These Terms do not constitute a consulting agreement and do not create any obligation on either party to enter into an engagement.
Fees, deliverables, timelines, confidentiality obligations, and all other terms specific to a client engagement will be set out in the applicable written agreement. In the event of a conflict between these Terms and an executed engagement agreement, the engagement agreement governs.
We reserve the right to decline any engagement at our discretion.
5. Programs, Workshops, Bootcamps, and Courses
Enrollment and Access
Enrollment in any Oparos program, workshop, bootcamp, cohort, or course is subject to separate program terms communicated at the time of registration. By enrolling, you agree to those terms in addition to these Terms.
Payment
Program fees are due as specified at registration. We accept payment by the methods indicated at checkout. All fees are stated in US dollars unless otherwise noted. Failure to complete payment may result in loss of access.
Refunds and Cancellations
Refund and cancellation policies are specific to each program and will be communicated at the time of registration. In general:
- Cancellations made more than 14 days before program start: full refund or credit
- Cancellations made 7 to 14 days before start: 50% refund or full credit
- Cancellations made fewer than 7 days before start: no refund; credit may be offered at our discretion
- No-shows: no refund
We reserve the right to cancel or reschedule a program due to insufficient enrollment, instructor unavailability, or circumstances beyond our control. In such cases, registered participants will receive a full refund or the option to transfer to a future program.
Program Content
All program materials are proprietary and may not be recorded, reproduced, distributed, or shared outside the program without written consent. Participants may take personal notes for their own professional development.
6. Speaking Engagements
Oparos accepts speaking and keynote engagements subject to availability and a separate speaking agreement. All intellectual content delivered in speaking engagements, including frameworks, models, and original analysis, remains the intellectual property of Oparos and may not be reproduced or commercialized without written consent.
7. Downloadable Resources
Resources, tools, templates, playbooks, canvases, and other materials available for download on this site are provided for your professional and organizational use. You may not resell, redistribute, or represent these materials as your own work. Attribution to Oparos is required when referencing these materials publicly.
8. Email Communications and Subscriptions
By subscribing to any of our email publications, you consent to receive periodic communications from us on topics within our areas of practice. You may unsubscribe at any time. Subscription does not create a consulting relationship or any obligation on our part to provide personalized advice.
9. Assessments and Diagnostic Tools
Assessments and diagnostics available through this site are designed for informational and organizational development purposes. Results are not professional, legal, financial, or clinical advice. You assume full responsibility for how you interpret and act on diagnostic outputs. For complex organizational decisions, we recommend engaging us directly for a full advisory engagement.
10. Client Confidentiality and Testimonials
We treat all client information as strictly confidential. We do not reference, publish, or disclose client-specific information without written consent. Any use of a client name, logo, or case study as a reference or testimonial is subject to a separate written authorization.

If you submit content to us through forms, assessments, emails, or program participation, you grant Oparos a non-exclusive, royalty-free license to use that content solely for the purpose of providing the services you have requested. We will not publish or commercially use your submissions without your consent.
14. Disclaimer of Warranties
This website and all content, tools, and resources on it are provided “as is” and “as available,” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Oparos makes no representations regarding the accuracy, completeness, or timeliness of any content.
We do not warrant that the website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Oparos, its principals, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of this website, reliance on any content, participation in any program, or engagement of our services, even if we have been advised of the possibility of such damages.
In no event shall our total cumulative liability to you for any cause of action exceed the greater of (a) the total fees paid by you to Oparos in the twelve months preceding the claim, or (b) one hundred US dollars ($100) where no fees have been paid.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
16. Indemnification
You agree to indemnify, defend, and hold harmless Oparos and its principals, employees, contractors, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to your use of this website, your violation of these Terms, or your infringement of any third-party rights.
17. Force Majeure
Oparos shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, governmental action, power outages, internet disruptions, or civil unrest.
18. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Any dispute arising under these Terms that cannot be resolved informally shall first be submitted to non-binding mediation in Westchester County, New York. If mediation does not resolve the dispute within 60 days, the parties may pursue resolution through the courts of competent jurisdiction in Westchester County, New York.
You waive any right to participate in a class action lawsuit or class-wide arbitration against Oparos.
19. Entire Agreement and Severability
These Terms, together with our Privacy Policy and any applicable engagement agreement, constitute the entire agreement between you and Oparos regarding your use of this website and its content. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
20. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Your continued use of the website after changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
